About this role:

Wells Fargo is seeking a Principal Credit Resolution Specialist that will support our Credit Resolution Group within Commercial Credit Workout. The Credit Resolution Group resides within the Commercial Banking (CB) Risk group and works directly with the Commercial Banking and Corporate & Investment Banking lines of business to both identify and manage lending relationships in distress. These high-risk client relationships are transitioned to the Credit Resolution Group to manage the recovery of Wells Fargo’s capital through early intervention and restructuring of distressed assets originated in Commercial Banking and Corporate & Investment Banking.


In this role, you will:

  • Manage a portfolio of the most complex distressed credit exposure focused on Corporate & Investment Banking (CIB) credits as the primary workout officer; provide advice to CIB regarding stressed relationships not yet transferred to workout
  • Lead discussions and negotiations with workout customers, financial sponsors, bank syndicates, and other creditors for relationships originated in CIB.
  • Analyze key issues related to cash flow and liquidity, leverage, working capital, collateral and enterprise value analysis, and repayment sources; prepare internal review materials for credit underwriting
  • Investigate creditor rights and legal ramifications in a potential restructure, leading credit amendments and restructurings, and monitoring of the credit post-restructure
  • Lead interaction and negotiate with internal and external legal counsel for the preparation and review of term sheets, and credit agreements; review and negotiate highly complex agreements and ancillary documents related to the closing of a restructuring; lead the negotiation of amendments, forbearances, and restructurings
  • Lead discussions with CIB leadership as needed regarding the management and resolution of distressed loans.
  • Mentor and collaborate with Credit Resolution Group associates, analysts, junior staff, and peer groups; collaborate with other groups within Wells Fargo, as well as outside providers of professional services such as appraisers, bankruptcy attorneys, financial advisors, receivers, forensic accountants, and insurance providers during the restructuring process
  • Lead the preparation of internal problem loan memorandums and impromptu reports for senior management, executives, and senior credit officers identifying critical credit issues and recommending options to mitigate risk and maximize potential loan recovery
  • Perform enterprise valuations and recovery analysis for Wells Fargo exposure in highly complex capital structures
  • Perform impairment calculations on a periodic basis by assessing most likely  and downside scenarios for forecasted cash flow
  • Lead client visits to develop a deeper understanding of the client’s day-to-day operational issues, borrowing needs, viability of the client’s business, and recovery prospects


Required Qualifications:

  • 10+ years of Credit Resolution experience, or equivalent demonstrated through one or a combination of the following: work experience, training, military experience, education


Desired Qualifications:

  • 10+ years of corporate workout experience at a major US bank, investment bank, direct lender or private credit provider.
  • BA/BS degree in a discipline such as accounting, finance, economics, etc.
  • Prior corporate workout, special asset, or credit resolution experience.
  • Proven ability to serve as a lead workout officer managing highly complex and high‑risk credit exposures for large corporate customers
  • Strong track record of leading negotiations with borrowers, financial sponsors, bank syndicates, and multi‑creditor groups
  • Advanced expertise in financial and credit analysis, including Cash flow and liquidity assessment, Leverage and capital structure analysis, Working capital evaluation, Collateral and enterprise valuation, Recovery and repayment analysis
  • Deep knowledge of credit structuring, restructuring, and distressed transactions, including:
  • Amendments and forbearance agreements, Complex restructurings and recapitalizations, post-restructure credit monitoring
  • Solid understanding of creditor rights, bankruptcy processes, and legal frameworks impacting restructures
  • Experience partnering with legal counsel to review and negotiate complex term sheets, credit agreements, and restructuring documentation
  • Demonstrated ability to prepare and present executive-level credit materials, including problem loan memorandums and risk mitigation strategies
  • Excellent communication, negotiation, and stakeholder management skills, particularly with senior leadership and external partners

Pay Range
 

Reflected is the base pay range offered for this position. Pay may vary depending on factors including but not limited to demonstrated examples of prior performance, skills, experience, or work location. Employees may also be eligible for incentive opportunities.

$215,000.00 - $355,000.00
