Assistant General Counsel, Vice President: Syndicated Lending - Corporate & Investment Banking

About this role:

Wells Fargo is seeking an Assistant General Counsel, Vice President to join the Corporate & Investment Banking and Technology Division and take on a senior role supporting Corporate Banking’s loan origination and portfolio activities across both the leveraged and investment grade markets. This position offers the opportunity to serve as a key legal adviser on sophisticated syndicated lending and related credit matters, while helping support important business activity across an established and dynamic platform. The role is designed for an attorney who can provide senior legal coverage, advise on complex transactions and structures, and partner closely with bankers, credit stakeholders, and other internal teams on significant matters.


In this role, you will:

  • Serve as primary legal coverage for assigned matters arising from Corporate Banking’s loan origination and portfolio activities across both the leveraged and investment grade markets and for both corporate and financial sponsor clients.
  • Advise on syndicated lending transactions and related credit activities, including administrative agency issues, risk participations, credit risk insurance, and other capital optimization matters.
  • Draft, review, and negotiate complex legal documents and provide legal guidance on significant transaction structures and issues.
  • Identify and analyze complex legal and regulatory issues, develop practical conclusions, and make recommendations for resolution in a manner consistent with Wells Fargo policies and business objectives.
  • Partner closely with bankers, credit stakeholders, and other internal teams on transaction execution, risk management, and issue resolution.
  • Work closely on acquisition financings, including bridge loan transactions, in both the leveraged finance and investment grade markets.
  • Contribute to initiatives designed to improve efficiency and respond to legal, regulatory, and market developments affecting the business.
  • Coach, mentor and provide oversight to less experienced attorneys and legal professionals.
  • Provide proactive legal advice and sound judgment, in collaboration with colleagues across the company, to support the company’s strategy and transformation while helping manage legal, regulatory, and reputational risk.


Required Qualifications:

  • 5+ years of Law experience, or equivalent demonstrated through one or a combination of the following: work experience, training, military experience, education.
  • Active State Bar membership.


Desired Qualifications:

  • Significant syndicated lending experience gained in a law firm setting and/or as internal counsel at a large financial institution.
  • Experience advising on complex credit transactions, capital management activities, and risk distribution structures, including risk participations and credit risk insurance.
  • Ability to serve as primary legal coverage and operate at a high level of performance with limited ramp-up time.
  • Experience analyzing legal and regulatory issues in area of practice and providing effective counsel to clients on complex legal matters.
  • Exposure to, or demonstrated interest in, market organizations and industry groups relevant to syndicated lending, banking, and credit markets, including the LSTA, ABA and similar forums, is a plus.
  • Strong legal, business and risk judgment.
  • Ability to integrate smoothly into an existing team structure.
  • Strong analytical skills with high attention to detail and accuracy.
  • Excellent verbal, written, and interpersonal communication skills.
  • Ability to work effectively in a complex, highly collaborative environment and to execute in a fast-paced, high-demand setting while balancing multiple priorities.


Job Expectations:

  • Position requires an onsite presence in any of the posted locations.
  • This position offers a hybrid work schedule.
  • Ability to travel up to 10% of the time.
  • Relocation assistance is not available for this position.

Pay Range
 

Reflected is the base pay range offered for this position. Pay may vary depending on factors including but not limited to demonstrated examples of prior performance, skills, experience, or work location. Employees may also be eligible for incentive opportunities.

$159,000.00 - $305,000.00
